1. Acceptance of Terms

By accessing or using Rally ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Eligibility

To use Rally, you must:

  • Be at least 18 years old
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials

3. Account Responsibilities

You are responsible for:

  • Account security: Safeguarding your password and account access
  • Account activity: All activities that occur under your account
  • Accurate information: Keeping your profile information current and truthful
  • Unauthorized access: Notifying us immediately if you suspect unauthorized use
  • One account: You may only maintain one active account

4. Service Description

Rally provides:

  • Intent signaling: Ability to signal your intent to visit venues at specific times
  • Presence indicators: Aggregated, fuzzy crowd signals showing where others plan to go
  • Venue discovery: Browse bars, cafes, clubs, and restaurants with real-time data
  • Social features: Follow other users and see delayed presence signals (opt-in)
  • Time windows: All intents have expiration times; no persistent rallies

Rally does not guarantee that any specific number of people will attend any venue. The Service shows signals and trends, not deterministic commitments.

5. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Harass, threaten, stalk, or harm other users
  • Create false or misleading intents to manipulate crowd signals
  • Impersonate others or create fake accounts
  • Use automated tools (bots, scrapers) without authorization
  • Attempt to reverse engineer, decompile, or hack the Service
  • Collect user data without consent
  • Spam, advertise, or promote commercial activities without permission
  • Upload malicious code, viruses, or harmful content
  • Interfere with or disrupt the Service or servers
  • Use the Service to coordinate illegal activities

6. User Content

You retain ownership of content you post (profile information, avatars, etc.), but you grant Rally a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content as necessary to provide the Service.

You represent that you have the right to post your content and that it does not violate any third-party rights or laws.

7. Privacy and Location Data

By using Rally, you understand and agree that:

  • We collect and process location data as described in our Privacy Policy
  • Rally shows aggregated, fuzzy presence signals—not exact locations
  • Intents you create are visible to other users as crowd signals
  • You can control privacy settings (profile visibility, presence sharing)
  • All intents auto-expire after their time window
  • Historical data is retained for 7 days, then deleted

8. Intellectual Property

The Service and its content (excluding user content) are owned by Rally and protected by copyright, trademark, and other intellectual property laws. You may not:

  • Copy, modify, or distribute our code, design, or branding
  • Use our trademarks or logos without written permission
  • Create derivative works based on Rally
  • Remove or alter any copyright or proprietary notices

9. Third-Party Services

Rally integrates with third-party services for maps, authentication, and infrastructure. Your use of these services is subject to their respective terms and policies. We are not responsible for third-party services or their availability.

10. Service Availability

Rally is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee:

  • Uninterrupted or error-free service
  • Accuracy of venue data or crowd signals
  • That specific people will attend any venue
  • Compatibility with all devices or browsers
  • Security against all threats

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RALLY AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Personal injury or property damage related to your use of the Service
  • Any conduct or interactions with other users
  • Unauthorized access to or alteration of your data
  • Errors, mistakes, or inaccuracies in the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE LAST 12 MONTHS, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Rally and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your content or conduct on the Service

13. Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, including if:

  • You violate these Terms or our policies
  • Your conduct harms other users or Rally
  • You engage in fraudulent or illegal activity
  • Required by law or regulatory authority

You may delete your account at any time from your profile settings. Upon termination, your data will be deleted in accordance with our Privacy Policy.

14. Dispute Resolution

Informal resolution: Before filing a claim, you agree to contact us via our contact form (select "Legal Matter") to attempt to resolve the dispute informally.

Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court.

Class action waiver: You agree to resolve disputes on an individual basis only, not as part of any class or representative action.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to conflict of law principles. Any legal action must be brought in the state or federal courts located in San Francisco, California.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification. Your continued use of Rally after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and delete your account.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rally regarding the Service, superseding any prior agreements.
